1.Introduction

("Half Alien", "we" or "our"). Within these Terms, you, the Service user, will be referred to as "you", "your", and "the user".

3.User Content

"User Content" refers to any content or information that a user enters, uploads and transmits when using the Service.

Half Alien does not own, control, verify or endorse and disclaims any and all liability in connection with User Content. You own the intellectual property rights of your User Content, and you are solely responsible for all of your User Content and the consequences that come along with using the Service, so you should avoid infringing, misappropriating or violating any intellectual property or proprietary right.

By providing User Content to the Service, you grant Half Alien a worldwide, non-exclusive, irrevocable, royalty-free license (with the right to sublicense) to host, store, cache, transfer, display, perform, reproduce or modify for formatting so that we can:

  • Allow the Service to function as intended.

4.Termination

Half Alien reserves the right to suspend, deny or terminate your access to the Service, at any time, without prior notice, liability or limitations, under our sole discretion if we determine that you have violated the Terms and Conditions stated herein. Some of the reasons include, but are not limited to:

  • Failed processing payment
  • Chargebacks through payment service
  • Suspected data mining, robot or data gathering
  • Attempting to share or gain unauthorised access to premium services
  • Disruption of our Service or servers

In the event of forceful termination of the Terms and Conditions:

  • You will no longer be authorised to access the site or Service in general.
  • If you are a Subscriber, your Subscription will be cancelled.
  • Your payment method may be blocked from future access.
  • All provisions of this agreement that by their nature should survive termination shall survive termination, including, without limitation, content ownership, indemnity and limitations of liability.

5.Indemnity

You are responsible for your use of the Service with respect to the Terms herein, and you agree to defend, indemnify and hold Half Alien, its directors, employees, contractors, agents, affiliates, partners and licensors harmless against any and all claims, damages, obligations, losses, liabilities, costs, debt and expenses relating to any claim or demand by any third party due to or arising from:

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HALF ALIEN, ITS DIRECTORS, ITS EMPLOYEES, ITS PARTNERS, ITS AFFILIATES AND ITS LICENSORS BE LIABLE ON ANY AND ALL INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION THE LOSS OF PROFITS, DAMAGE TO USER CONTENT OR DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM OR RELATING TO (A) YOUR ACCESS TO OR USE OF (OR YOUR INABILITY TO ACCESS OR USE) THE SERVICE; (B) ANY MATERIALS AND CONTENT ON OR AVAILABLE THROUGH THE SERVICE; (C) ANY CONDUCT OR CONTENT FROM ANY THIRD PARTY ON THE SERVICE. EACH PROVISION OF THESE TERMS THAT PROVIDE FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS INTENDED TO AND DOES ALLOCATE THE RISKS, AND YOU AGREE THAT THIS LIMITATION OF LIABILITY IS AN ESSENTIAL ELEMENT OF THE BASIS OF BARGAIN AND REPRESENTS A REASONABLE ALLOCATION OF RISK BETWEEN HALF ALIEN AND YOU. YOU UNDERSTAND THAT THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

7.Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS PROVIDED" BASIS. HALF ALIEN, ITS PARTNERS, ITS AFFILIATES AND ITS LICENSORS DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESSED OR IMPLIED, RELATING TO THE SERVICE, MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE, INCLUDING IMPLIED WARRANTY OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SATISFACTORY QUALITY OR ARISING FROM A HALF ALIEN INTERACTION, LAW, SECURITY, RELIABILITY AND PERFORMANCE. HALF ALIEN DOES NOT CLAIM AND MAKES NO REPRESENTATION THAT THE SERVICE WILL BE BUG, ERROR AND INTERRUPTION-FREE AND WILL NOT BE HELD RESPONSIBLE BY ANY MEANS FOR ACCESS DELAYS, DESTRUCTION AND EVENTS OUT OF OUR CONTROL.

WE RESERVE THE RIGHT TO EDIT, UPDATE AND REMOVE OUR PROVIDED SERVICE, AND ANY SIGNIFICANT CHANGES TO HALF ALIEN AND ITS SERVICES CAN BE MADE AT OUR SOLE DISCRETION.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE EXCLUSION AND LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. THE SECTIONS WITHIN THE TERMS AND CONDITIONS TITLED "DISCLAIMERS" AND "LIMITATIONS OF LIABILITY" ARE INTENDED TO BE ONLY AS BROAD AS IS PERMITTED UNDER THOSE LAWS AND MAY NOT APPLY TO YOU.

These Terms and Conditions are governed by and construed under the laws of England and Wales. Any dispute you have which relates to these Terms and Conditions or the Service (whether it be contractual or non-contractual) will be subject to the exclusive jurisdiction of the courts of England and Wales.
